23 rd. ANNUAL DIRECTORSæ REPORT
Pursuant to the legal regulations in force, the Board of Directors is pleased to
inform the shareholders of the performance during the twenty third fiscal year of
the Company ended as of December 31, 2004, and submits this Annual Report
and Financial Statements for your consideration.
Historically, the Bank has operated mainly in South America, especially in
Argentina. However, due to the crisis facing the country as from 2001, the regional
exposure was drastically reduced during previous years.
During the year under review, Argentina has consolidated the economic recovery
started in 2003 by generating new business opportunities both in the country and
in the region. In this regard, we should mention that due to the restructure of the
Argentine foreign debt, new business opportunities arose through the negotiation
of national public and corporate securities, a market where we have actively
participated attaining a significant growth both in volumes as well as market share,
since our Bank has acted as a liason between Buenos Aires and New York.
Our contacts with international banks and brokers have allowed us to participate
in this business in an efficient and profitable manner.
During the year 2004 we performed the follow up of the recommendations that
where informed in the letter of Inspection about Physical Presence, dated October
2003. By June 2004 we had accomplished all the actions put in place to adjust
the deficits that were found.
We would like you to notice that even when 2004 was a very active hurricane
year, in no moment did we have any interruption of our communications and
information systems that at times had to be run from our alternative server. The
contingency plan was successful.
Central Bank of the Bahamas
Since the beginning of 2004, the Central Bank of The Bahamas has issued several
guidelines on the supervision of financial institutions and the controls they have to
implement to ensure compliance thereof.
In general, all the regulations issued or under implementation respond to the policies
of the Basel Committee on Banking Supervision. One of the latest reports issued,
called "Compliance Risk and Compliance Function in Banks" issued in April 2005,
describes in detail the principles on which the Bank’s compliance function should
be based, giving priority to the following:
a) Compliance duties of the Board of Directors
b) Compliance duties of Management
c) Principles applicable to Compliance
These guidelines clearly define the principles to be followed by the Board of
Directors, responsible for supervising the compliance risk management of the
Bank and by Senior Management, responsible for the effective compliance risk
management of the Bank by implementing and communicating the compliance
policy to the Board.
The guidelines issued and made available to the institutions up to date are the
following:
a) Measurement, Monitoring and Control of Impaired Assets
b) Management of Capital and the Calculation of Capital Adequacy
c) Management of Liquidity Risk
d) Management of Large Exposures
The following are drafts for industry consultation:
a) Guide to the Central Bank’s Supervisory Intervention Programme
b) The Establishment or Acquisition of Overseas Branches, Subsidiaries and
Representative Offices.
c) Management of Country Risk
d) Electronic banking Activities
e) Chartered Accountants and Chartered Accounting Firms Serving as the
Auditors of Banks and Trust Companies Licensed by the Central Bank
of The Bahamas
f)
Prevention and Detection of Money Laundering for Licencees
g) Market Risk Guidelines (to be issued)
given a target date allowing a reasonable time to make the necessary
adjustments.
In this regard, at present we are working on the following:
•
Definition of the Bank’s policies on "Compliance Risk and Compliance
Function in Banks" and "Large Exposures".
•
Implementation of a system to control individual limits per group and the
aggregate limit.
•
Define those officers responsible for compliance with the guidelines.
The Board of Directors considers that this initiative by the Central Bank is a very
valuable contribution to the Bahamas’ Financial System and shall make its best
efforts to implement internal regulations to ensure compliance as soon as possible.
The income as of year end was 1.1 million dollars. Thus, the profits arising from
trading in securities, amply offset the lower profitability due to the reduction in
volume of loans and mandate fees.
23 INFORME ANUAL DE LOS DIRECTORES
De acuerdo a las normas legales y estatutarias vigentes, este Directorio se complace
en informar a los señores accionistas sobre la gestión desarrollada durante el
vigésimo tercer ejercicio económico de la Sociedad, cerrado el 31 de diciembre
de 2004, sometiendo a vuestra consideración esta Memoria y el Informe Anual
con los Estados Contables.
Históricamente, el Banco ha desarrollado principalmente sus negocios en
Sudamérica, en especial en la Argentina. Sin embargo, a raíz de la crisis que
afectó a este país a partir de 2001, la exposición en la región fue disminuida
drásticamente durante los ejercicios anteriores.
Durante el ejercicio en consideración, la Argentina ha consolidado la recuperación
económica insinuada en 2003, generando nuevas oportunidades de negocios,
tanto en dicho país, como en la región. En este sentido es oportuno señalar que a
raíz de la reestructuración de la deuda soberana argentina, se generaron nuevas
oportunidades de negocios, a través de la negociación de títulos públicos y
corporativos argentinos, mercado en el cual hemos estado muy activos logrando
un crecimiento significativo tanto en volúmenes como en participación de mercado
ya que nuestro Banco ha servido como vaso comunicante entre Buenos Aires y
Nueva York.
Nuestros contactos con bancos y brokers internacionales nos han permitido
participar en estos negocios de manera eficiente y rentable.
Durante el año 2004 realizamos el seguimiento de las recomendaciones informadas
en la carta de Inspección sobre Presencia Física de octubre de 2003. Para junio
del 2004 habíamos cumplido todas las medidas implementadas para ajustar los
déficits identificados.
Debemos resaltar que aunque el 2004 fue un año con numerosos huracanes, no
se interrumpieron nuestras comunicaciones y sistemas informáticos, que en algunas
oportunidades debieron correr en el servidor alternativo. El plan de contingencia
fue exitoso.
Banco Central de Bahamas
Desde principios del año 2004, el Banco Central de Bahamas emitió diversas
normas relativas a la supervisión que debe ejercer sobre las entidades financieras
y los controles que las entidades deben implementar para asegurar el cumplimiento
de las mismas.
En general todas las normas emitidas o en periodo de implementación, responden
a las políticas definidas por el Comité de Basilea de Supervisión Bancaria. En
uno de los últimos informes emitidos, definido como "Riesgo de Cumplimiento y
Función de Cumplimiento en Bancos" emitido en abril de 2005, trata
pormenorizadamente los principios en los que debería basarse la función de
cumplimiento del Banco, dándole prioridad a:
a) Obligaciones de cumplimiento del Directorio
b) Obligaciones de cumplimiento de la Gerencia
c) Principios aplicables a la función de cumplimiento
Se definen claramente los principios que deben respetarse por parte del Directorio,
que es el responsable de supervisar el manejo del riesgo del cumplimiento del
Banco y la Gerencia Senior que es responsable del manejo efectivo del riesgo de
cumplimiento del Banco, que debe implementar y comunicar la política de
cumplimiento al Directorio.
Los lineamientos emitidos y puestos a disposición de las entidades hasta la fecha,
son los siguientes:
a) La Medición, Monitoreo y Control de Activos Incumplidos
b) El Manejo del Capital y el Cálculo del Capital Mínimo
c) El Manejo del Riesgo de Liquidez
d) El Manejo de las Exposiciones de Alto Riesgo
A la consulta de la industria, se encuentran las siguientes versiones preliminares:
a) Lineamientos sobre el Programa de Intervención de los Supervisores del
Banco Central
b) El Establecimiento o Adquisición de Sucursales, Subsidiarias y Oficinas
de Representación en el Exterior
d) Actividades de Banca Electrónica
e) Lineamientos para Contadores y Estudios Contables habilitados que
actúan como Auditores de Bancos y Sociedades Fiduciarias Autorizadas
para Operar por el Banco Central de Las Bahamas
f)
Prevención y Detección de Lavado de Dinero para Licenciatarios
g) Lineamientos de Riesgo de Mercado (próximo a salir)
El Banco Central de Las Bahamas informó que analizará la implementación de
los mismos con cada Banco en forma individual. Dará a cada uno, una fecha en
la cual debe estar encuadrado y al fijar la fecha, permitirá un tiempo razonable
para el ajuste, si fuera necesario.
En tal sentido en la actualidad nos encontramos abocados a:
•
Definir las políticas del Banco sobre "Riesgo de Cumplimiento y Función
de Cumplimiento en Bancos" y "Exposiciones de alto riesgo".
•
Establecer un sistema que controle los límites individuales, por grupo y el
límite total.
•
Definir los directivos responsables de cumplimiento de los lineamientos.
Este Directorio considera un aporte muy valioso para el Sistema Financiero de
Bahamas, esta iniciativa del Banco Central, y pondrá todo su esfuerzo en la
implementación de las normas internas, para asegurar el cumplimiento en el tiempo
mas corto posible.
El resultado positivo final del año fue de 1.1 millones de dólares. De esta manera,
la ganancia por la comercialización de títulos compensó ampliamente la caída en
rentabilidad por la disminución en el volumen de préstamos y de comisiones por
mandatos.

1. INCORPORATION AND ACTIVITY
Offshore Trust Banking Corporation Limited was incorporated under the laws of the Commonwealth of The Bahamas on November 23, 1981 and was granted a licence under The Banks and Trusts Companies Regulation Act 1965 (as amended). The Bank’s name was changed on July 27, 1994 to First Overseas Bank and Trust Company Limited, and on February 15, 1995 to First Overseas Bank Limited ("the Bank").
The Bank’s principal activity is the provision of offshore banking services, including buying and selling securities issued by the Argentine government and private Argentine companies.
The Bank had three (3) employees at December 31, 2004 (2003: three (3) employees).

.SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES
These financial statements have been prepared under the historical cost convention and in accordance with International Financial Reporting Standards ("IFRS") and are expressed in United States dollars. The preparation of financial statements in conformity with IFRS requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities as of the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates.
The significant accounting policies adopted are as follows:
a) Cash and cash equivalents - Cash and cash equivalents consist of cash and due from banks.
b) Debt and equity securities - Debt and equity securities include the Republic of Argentina government bonds
(Bonex and other public securities), shares in Argentine companies, debentures and foreign debt instruments. Debt and equity securities are stated at market value.
c) Recognition of income - Income and expenses are recognized on an accrual basis. Income and expenses
arising from forward contracts are recognized using the premium accrual method during the term of the contract, by comparing the spot value of the contract with its market value. The forward position is appraised at the market value.
d) Earnings per share - Earnings per share is computed by dividing the net income by the weighted average
number of shares outstanding at the end of the period.
e) Foreign currency transactions - These financial statements are expressed in United States dollars. Foreing
currency transactions are translated at the exchange rate prevailing at the date of transactions. Monetary assets and liabilities denominated in currencies other than United States dollars are translated into United State dollars at the applicable exchange rate prevailing at the balance sheet date.

Offshore Trust Banking Corporation Limited fue constituído en el Commonwealth de las Bahamas el 23 de noviembre de 1981. El nombre del Banco fue cambiado el 27 de julio de 1994 por el de First Overseas Bank and Trust Company Limited y el 15 de febrero de 1995 por el de First Overseas Bank Limited.
El Banco tiene como objetivo principal la prestación de servicios de banca off-shore y la compra y venta de títulos emitidos por los gobiernos y por compañías privadas de países de América del Sur.
2 - PRINCIPALES CRITERIOS CONTABLES
Los principales criterios contables son los siguientes:
a) Bases de preparaciðn - Los estados financieros han sido preparados siguiendo la convención contable del costo histórico, salvo para los valores negociables según se explica en el literal (b) siguiente.
b) Valores Negociables - Corresponden a bonos gubernamentales de la República Argentina (Bonos del Tesoro y otros títulos públicos), acciones de compañías argentinas y del exterior e instrumentos de deuda externa, contabilizados a su valor de mercado.
c) Conversiðn de monedas extranjeras - Los activos y pasivos no denominados en moneda estadounidense, se convierten a los tipos de cambio vigentes al fin del período y las ganancias y pérdidas resultantes se incluyen en el estado de resultados. Los ingresos y egresos en dichas monedas se contabilizan a los tipos de cambio vigentes a las fechas de las respectivas operaciones.
d) Criterio de lo devengado - Los ingresos y egresos se reconocen en base al criterio contable de lo devengado. Los ingresos y gastos por contratos a futuro se reconocen a través del devengamiento de la prima durante el plazo del contrato, comparando el valor contado de la operación con el valor de mercado, ya que la posición a futuro se valúa por este último.
e) Fondos - Para la presentación del Estado de flujos de fondos, el concepto de fondos se define como Disponible.
f) Ganancia por acciðn - La ganancia por acción es calculada dividiendo el ingreso neto entre la cantidad total de acciones durante el período.
