The University of Texas at San Antonio (hereinafter referred to as "UTS A") , located at One UTSA Circle, San Antonio, Texas 78249, and the Universidad Complutense de Madrid (hereinafter referred to as "Universidad Complutense"), located at Avenida Seneca, 2. 28040, Madrid, Spain, enter into an agreement of cooperation to establish a program of exchange and collaboration in areas of interest and benefit to both institutions.

The purposes of the cooperation between UTSA and UNIVERSIDAD COMPLUTENSE are as follows:

• to promote interest in the teaching and research activities of the respective institutions; and

• to deepen the understanding of the economic, cultural and social issues environment of the respective institutions.

To achieve these goals, UTSA and UNIVERSIDAD COMPLUTENSE will, insofar as the means of each allow:

• promote institutional exchanges by inviting faculty and staff of the paIiner institutions to participate in a variety of teaching and/or research activities and professional development;

• receive undergraduate and graduate students of the partner institution for periods of study and/or research;

• exchange information pertaining to developments in teaching, student development, and research at each institution.

In achieving these goals, UTSA and UNIVERSIDAD COMPLUTENSE will ensure that the UTSA Office of Research Integrity and Compliance reviews the specifics of all proposed exchanges of information or of any proposed research collaboration before either institution actually engages in any such exchange or collaboration. This review is required because such exchanges or collaborations may be subject to American Import and Export Control laws and regulations.

Each institution shall designate a coordinator to oversee and facilitate the implementation of this Agreement. The coordinators, working with other appropriate administrators at the respective universities, shall have the following responsibilities:

• to promote academic collaboration at both faculty, graduate and undergraduate student levels for research and study;

• to act as principal contracts for individual and group activities and to plan and coordinate all activities within their institutions as well as with the partner institution;

• to distribute to each institution information about the faculty, facilities, research, publications, library materials and educational resources of the other institution; and • to meet periodically to review and evaluate past activities and to work out new ideas for

future cooperative agreements.

This general Agreement of Cooperation shall be identified as the parent document of any program agreement executed between the patiies. Further agreements concerning any program shall provide details concerning the specific commitments made by each party and shall not become effective until they have been reduced to writing and executed by the duly authorized representatives of the parties. This entire Agreement, including any amendments, is subject to the limitations and restrictions that may be imposed by the Import and Export Control laws and regulations of the United States government. The scope of the activities under this agreement shall be detern1ined by the funds regularly available at both institutions for the types of collaboration undertaken and by financial assistance as may be obtained by either institution from external sources.

Except as may be stipulated in any specific program agreement, UTSA shall be responsible for expenses incurred by its employees, staff, students, agents, etc. The expenses covered by the Universidad Complutense shall be set each year in accordance with the financial conditions approved following the internal procedures. The host institution will assist professional staff engaged in teaching or research to find local living facilities.

Upon approval by each institution, this agreement shall remain in effect for a period of four (4) years unless terminated earlier by either institution. Such termination by one institution shall be effected by giving the other institution at least ninety (90) days advance written notice of its intention to terminate. If such notice is given, this agreement shall terminate: (a) atthe end of such ninety (90) days; or (b) when all students enrolled in a course of study under the agreement at the time such notice is given have completed their respective courses of study under the agreement, whichever event occurs last. Termination shall be without penalty. If this agreement is terminated, neither UTSA nor UNIVERSIDAD COMPLUTENSE shall be liable to the other for any monetary or other losses that may result.

This Agreement or program agreements resulting from this Agreement may be translated into Spanish and executed by the institutions; however, if the terms and conditions in the English version of an agreement conflict with those in the Spanish version of the agreement, the English version shall control.

EXECUTED by The University of Texas at San Antonio and Universidad Complutense de Madrid the present agreement is signed in four copies, two in English and two in Spanish, each of which shall be deemed an original.

La Universidad de Texas en San Antonio (The University of Texas at San Antonio) (en adelante denominada "UTSA") ubicada en One UTSA Circle, San Antonio, Texas 78249, y la Universidad Complutense de Madrid (en adelante denominada "UCM"), ubicada en Avenida Seneca, 2, 28040, Madrid, Espana, celebran un acuerdo de cooperaci6n para establecer un programa de intercambio y colaboraci6n en aereas de interes y de beneficio para ambas insti tuci ones.

• Promover el interes en las actividades de ensenanza e investigaci6n de sus respectivas instituciones; y

• Profundizar en el conocimiento en temas del entorno econ6mico, cultural y social de las respectivas instituciones.

Para lograr estas metas, UTSA y la UCM llevanln a cabo

siguiente hasta donde sus medios 10permitan:

• Promovenln intercambios institucionales a traves de la invitaci6n a personal docente y administrativo de la instituci6n asociada para participar en actividades de ensenanza y/o investigaci6n y desarrollo profesional.

• Recibinln estudiantes universitarios yde posgJ-ado de la instituci6n asociada por periodos de estudio y/o investigaci6n;

• Organizanln simposio, conferencias, cursos cortos y reUl1lones sobre temas de investigaci6n;

• Intercambiarim informacion relacionada con el desanollo de la ensefianza, desarrollo estudiantil e investigacion en cada institucion.

Para lograr estas metas, tanto UTSA como la UCM se asegurarim de que la oficina de Investigacion, Integridad y Cumplimiento de UTSA revise las especificaciones de todos los intercambios de informacion propuestos 0 de cualquier propuesta de investigacion en colaboracion ante cualquiera de las instituciones antes de que cada una de las instituciones realmente se comprometa en dicho intercambio 0 colaboracion. Esta revision es necesaria porque dichos intercambios 0 colaboraciones podrian estar sujetos a leyes 0 reglamentos de Control por parte de Estados Unidos para la Importacion y Exportacion.

Cada una de las instituciones designani un coordinador para supervisar y facilitar el cumplimiento de este Contrato. Los coordinadores conjuntamente con otros administradores de sus respectivas universidades tendrim las siguientes responsabilidades:

• Promover la colaboracion academica tanto a nivel de personal docente como de estudiantes universitarios 0 de posgrado para investigacion y estudio;

• Servir como contacto para actividades tanto individuales como de grupo, asi como planificar y coordinar todas las actividades de su propia institucion asi como con la institucion asociada;

• Distribuir en cada institucion infonnacion sobre personal docente, instalaciones, investigacion, publicaciones, material de biblioteca y recursos educacionales de la otra institucion; y

• Reunirse periodicamente para la revision y evaluacion de actividades pasadas y para llevar a cabo nuevas ideas para futuros contratos de cooperacion.

Este acuerdo de Cooperacion sera identificado como el documento principal de cualquier acuerdo de programas f0l111alizadoentre las partes. Futuros contratos 0 acuerdos concel11ientes a cualquier programa deberan especificar detalles concel11ientes alas obligaciones especificas hechas de cada una de las partes y no surtira efectos hasta que se realice por escrito y se firme por los representantes de las partes debidamente autorizados. Este contrato en su totalidad, incluyendo cualquier modificacion, estara sujeto alas limitaciones y restricciones impuestas por las leyes y reglamentos de Control de Importacion y Exportacion del gobiel110 de los Estados Unidos. El alcance de las actividades bajo este contrato sent detel111inado por los fondos que regulmmente estan disponibles en ambas instituciones para el tipo de colaboracion realizada y por ayuda financiera que cualquiera de las instituciones obtenga de recursos extel110s.

Con excepcion de que se estipule 10 contrario en algllD acuerdo de programa especifico,

UTSA sera responsable de los gastos en que incurran sus empleados, personal, estudiantes, agentes, etc. Los gastos que correnin por cuenta de 1aUCM se fijaran anua1mente de acuerdo a 1as condiciones financieras aprobadas segun su procedimiento interno. La institucion anfitriona

asistira al personal docente 0 investigador a encontrar alojamiento local.

Una vez aprobado pOl' cada una de las instituciones, este contrato permanecera vigente por un periodo de cuatro (4) anos a menos de que se de par terminado con anterioridad por cua1quiera de las instituciones. La rescision terminacion anticipada por una sola de las instituciones se llevara a cabo dando a la otra institucion un aviso par escrito con al menos noventa (90) dias de anticipacion de su intencion de terminar e1 contrato. Si se diera dicho aviso,

este contrato debera terminar: (a) al termino de 10s noventa (90) dias; 0 (b) cuando todos 10s estudiantes inscritos en dicho curso bajo 10s terminos de este contrato al momenta de que dicho aviso sea dado hayan comp1etado sus cursos respectivos bajo 10s terminos de este contrato, 10 que ocurra despues. La finalizacion no tendra penalidad a1guna. Si este contrato terminara, ni

UTSA 0 1a UCM seran responsab1es ante 1a otra institucion de cualquier perdida monetaria 0 de cua1quier otro tipo.

Este contrato 0 contratos de pro gram as que resultaren de este contrato podran ser

traducidos a1 espano1 y firmados por 1as instituciones; sin embargo, si 10s terminos y condiciones de 1a version en ing1es entraran en conflicto con 10s de 1a version en espano1 del contrato,

entonces sera la version en ing1es 1a que preva1ezca.

FIRMADO por 1a Universidad de Texas en San Antonio (The University of Texas at San

Antonio) y la Universidad Comp1utense de Madrid en cuatro copias, dos en ing1es y dos en

espano1, cada una de 1as cuales sera considerada un documento original.
