Conforme lo disponen los Estatutos de la Sociedad, el Directorio presenta a su consideración la Memoria Anual que incluye los informes financieros y de gestión de Andino Investment Holding S.A. (AIH), correspondientes al Ejercicio finalizado el 31 de diciembre de 2012.
El Ejercicio 2012 ha sido para AIH un período marcado por la incorporación del Grupo en el mercado de valores, lo cual ha significado no solo un cambio en la forma de financiamiento, sino un cambio en la manera de trabajar y de organizarnos.
En ese sentido, a comienzos del año se llevó a cabo la oferta primaria de acciones de AIH, que incorporó capitales frescos a la Empresa, así como nuevos actores dentro del accionariado. De los fondos obtenidos, se realizó el aporte de capital de AIH por 26.5 millones de dólares a Terminales Portuarios Euroandinos.
Dentro del rubro de financiamiento debemos destacar también la emisión de bonos realizada por Terminales Portuarios Euroandinos, con la asesoría de AIH, en la que se obtuvieron US$ 110 millones y que fue elegida por Latin Finance como la mejor operación de financiamiento de proyecto de infraestructura en 2012.
La gestión de la Empresa se vio reforzada con la incorporación de profesionales de reconocida trayectoria. Ellos son Luis Carranza Ugarte, Carlos del Solar Simpson y Miguel Aramburú Álvarez Calderón, quienes con su participación han aportado para el funcionamiento de un Directorio más analítico y proactivo.
Por otro lado, este año hemos culminado con todos los procedimientos que harán posible una buena aplicación del Código de Gobierno Corporativo que se aprobó el año anterior.
Asimismo, es importante destacar que las empresas que pertenecen al Grupo crecieron en términos consolidados durante 2012 en un promedio de 10 por ciento con respecto al año anterior.
Entre los hechos destacables, podemos considerar el inicio de las operaciones de Penta Tanks Terminals, primer terminal de etanol dedicado del país, que realizó su primer embarque el 11 de agosto.
Durante este año, Terminales Portuarios Euroandinos inició a mediados de junio la construcción de la ampliación del nuevo terminal marítimo de Paita, asimismo llegaron dos grúas móviles que significarán una mejora sustancial en la eficiencia del terminal.
De la misma manera, Aeropuertos Andinos del Perú inició las obras de mejora y remodelación de los aeropuertos que viene operando.
Finalmente, quisiera agradecer a los colaboradores de AIH y de las empresas que conforman la Holding por la dedicación y el trabajo desempeñado durante este año y sin cuyo aporte no hubiera sido posible cumplir nuestras metas. Desde aquí comprometerlos para seguir trabajando con el mismo ánimo durante la gestión 2013.

DEAR SHAREHOLDERS
As provided by the company By-Laws, the Board of Directors presents for your consideration the Annual Report including the financial and management statements of Andino Investment Holding S.A. (AIH) for the financial year ended December 31, 2012.
The milestone in the 2012 financial year for AIH has been the inclusion of the Holding in the stock market. This has meant not only a change in the financing methods, but also a change in the way we work and organize ourselves.
In this sense, the initial public offering of AIH shares was carried out at the beginning of the year, incorporating fresh capitals to the Company, as well as new shareholders. From the funding obtained, there was a capital contribution of US$
26.5 million from AIH to Terminales Portuarios Euroandinos.
Regarding financing, it is also important to mention the bond issuance carried out by Terminales Portuarios Euroandinos, under AIH advice, in which US$ 110 million were raised and that was chosen by Latin Finance as the best financing operation of an infrastructure project in 2012.
The Company management was reinforced by the inclusion of new distinguished professionals. They are: Luis Carranza Ugarte, Carlos del Solar Simpson and Miguel Aramburú Álvarez Calderón, whose participation has contributed to make a more analytic and proactive Board of Directors.
On the other hand, this year we have finished all the procedures to enable the application of the Corporate Governance Code that was approved last year.
Additionally, we would like to point out that the companies in the Holding showed in 2012 a consolidated growth of 10% in average compared with the previous year.
Among the remarkable facts, we can mention the beginning of operations of Penta Tanks Terminals, the first ethanol devoted terminal in the country, which made the first shipment on August 11.
By mid-June, Terminales Portuarios Euroandinos started building the expansion of Paita´s new terminal. Additionally, two mobile cranes arrive, to make a substantial improvement in the terminal efficiency.
Similarly, Aeropuertos Andinos del Peru started improvement and remodeling works in the airports where they operate.
To conclude, I would like to thank AIH collaborators and subsidiaries for their dedication and their work during this year. Without their contribution, these results would have not been possible. I further encourage you to keep working with the same enthusiasm during 2013.

BREVE RESEñA DE LA EMPRESA
AIH es un conglomerado de empresas peruanas, líderes en brindar servicios logísticos y portuarios, así como en operar infraestructura. El Grupo AIH cuenta con tres áreas de negocios: (i) Infraestructura, cuyo foco es la gestión de puertos, aeropuertos y desarrollo de proyectos con empresas del sector privado; (ii) Servicios Logísticos, los cuales ofrecen servicios extraportuarios, entre ellos carga, descarga y almacenamiento de contenedores, transporte, almacenamiento y distribución de todo tipo de carga; y (iii) Servicios Marítimos, los cuales se enfocan en atender a las líneas navieras, otorgando los siguientes servicios de agenciamiento marítimo, operaciones de carga y descarga, operaciones submarinas, servicios de practicaje y remolcaje.
Las principales empresas que conforman el Grupo AIH son: Cosmos, Neptunia, Triton Transports, Terminales Portuarios Euroandinos (TPE - operador del puerto de Paita, el segundo puerto más grande del país en base al volumen de contenedores movilizados) y Aeropuertos Andinos del Perú (AAP - operador de los Aeropuertos Regionales del Sur: Arequipa, Puerto Maldonado, Juliaca, Tacna y Ayacucho). Asimismo, el Grupo AIH cuenta con varios socios estratégicos internacionales: Svitzer Americas en Svitzer Andino, Mota-Engil (conglomerado europeo, con operaciones en más de 19 países) en TPE y Grupo Corporación América S.A. (CASA, accionista de Aeropuertos 2000, empresa operadora de la mayoría de los aeropuertos de Argentina, además de otros en Latinoamérica y Europa) en AAP. AIH y sus subsidiarias cuentan con más de 40 años de experiencia en el mercado peruano.

AIH como holding se constituyó como una sociedad anónima cerrada mediante escritura pública de fecha 17 de junio de 2005, bajo la denominación de Andino Inversiones Portuarias S.A.C. Mediante acuerdo de Junta General de Accionistas del 09 de octubre de 2009, se cambió la denominación social a Andino Investment Holding S.A.C. Con fecha 02 de mayo de 2011, la Junta General de Accionistas aprobó la adecuación de Andino a la forma societaria de Sociedad Anónima, con la finalidad de poder emitir acciones.

AIH is a conglomerate of Peruvian companies, leader in providing logistics and port services, as well as operating infrastructure. AIH has three business areas: (i) Infrastructure, focused on port and airport management, and the development of projects with private companies; (ii) Logistics Services, offering out- of-port services, among them loading, unloading, and container storage, transportation and distribution of all kind of cargo; and (iii) Maritime Services, focused on attending shipping lines, providing the following services: ship brokerage, loading and unloading operations, underwater operations, pilotage and towage services.
The main companies comprising AIH are: Cosmos, Neptunia, Triton Transports, Terminales Portuarios Euroandinos (TPE – operator of Paita port, the second biggest port in the country based on the volume of containers moved) and Aeropuertos Andinos del Peru (AAP - operator of Aeropuertos Regionales del Sur: Arequipa, Puerto Maldonado, Juliaca, Tacna and Ayacucho). Additionally, AIH has several international strategic partners: Svitzer Americas in Svitzer Andino, Mota-Engil (European conglomerate, with operations in more than 19 countries) in TPE and Grupo Corporación América S.A. Corporate Purpose and Term
The Corporate Purpose is to invest on different economic sectors. In addition, it may trade, import, export, intermediate, distribute, buy and/or sell any type of goods.
The Company can also provide consultancy, advisory, technical assistance, operations, startup, management and/or any other type of services related to the investment sector. AIH cuenta con 5 personas en la planilla de la holding, 2 de ellos son funcionarios y 3 empleados. En el último año se ha contratado a un empleado.
Cabe señalar que otros funcionarios y empleados que cumplen funciones en la holding, se encuentran en planilla de empresas subsidiarias de AIH dado que cumplen funciones en ambas empresas.
En total, AIH y sus subsidiarias emplean a más de 2,000 personas.
DESCRIPCIÓN DEL GRUPO ECONÓMICO
AIH conforma un grupo peruano líder que opera en los sectores de infraestructura; servicios logísticos y servicios portuarios. Su crecimiento está impulsado por la inversión en infraestructura en el país, así como del aumento del comercio exterior. AIH, a través de sus Subsidiarias, se enfoca en servir a sus clientes a través de sus tres unidades de negocio:
El área de Infraestructura se caracteriza por tener proyectos de concesiones públicas o de desarrollo de infraestructura privada. Adicionalmente a TPE y AAP, AIH ha desarrollado otros dos proyectos de carácter privado: Penta Tanks, un complejo de tanques de almacenamiento de etanol para Maple Etanol, en Piura, el cual inició operaciones en junio de 2012; y Lima Hub, un centro logístico ubicado sobre un terreno de 14 hectáreas adyacentes al Aeropuerto Internacional Jorge Chávez, el cual incluiría edificios de oficinas, dos hoteles y almacenes de carga aérea, según el último plan de negocios de AIH. El diseño de este proyecto se encuentra avanzado y se espera que su construcción se inicie en el 2013.
En el área de Servicios Logísticos, AIH ofrece a las navieras y consignatarios de la carga los servicios de almacenamiento de contenedores (llenos/vacíos) además de servicios de recepción, almacenamiento y despacho de mercadería, almacenamiento de contenedores refrigerados, entre otros. Adicionalmente, ofrece el servicio de transporte de los productos de exportación e importación de y hacia el puerto; y también el transporte de carga sobredimensionada (maquinaria y carga de proyectos en general) que requiere de un transporte especial y equipo especializado.
En el área de Servicios Marítimos, el Grupo Andino trabaja tanto con las líneas navieras como con importadores, exportadores y con empresas del sector minero, petrolero y gasífero. A las navieras, les ofrece servicios de agenciamiento marítimo, operaciones de carga y descarga, servicios de practicaje y remolcaje. A los importadores y exportadores, servicios de estiba y desestiba y de documentación aduanera.

AIH has 5 people on its holding payroll, two of them are officers and 3 are employees. One employee was hired during the last year.
It is important to mention that other officers and employees with authority in the holding appear in the payroll of AIH subsidiaries as they carry out functions in both companies.
Altogether, AIH and its subsidiaries employ more than 2,000 people.
DESCRIPTION OF THE HOLDING COMPANY
AIH is a leading Peruvian holding operating in infrastructure; logistics services and port services. The investment on infrastructure in the country, as well as the increase of foreign trade, drives the company´s growth.
AIH, through its subsidiaries, focuses on providing services to its customers through three business units:
The Infrastructure area works on public concession or private infrastructure development projects. Besides TPE and AAP, AIH has developed two other private projects:
Penta Tanks, an ethanol storage tank complex for Maple Etanol, in Piura, which started operations in June 2012; and Lima Hub, a logistics center located over 14 hectares adjacent to Jorge Chavez International Airport.
This would include office buildings, two hotels and air freight warehouses, according to AIH´s most recent business plan. The project design is well under way and construction is expected to begin in 2013.
AIH Logistics Services offers shipping companies and consignees such services as containers storage (full/
empty) besides reception services, goods warehousing and dispatch and refrigerated container warehousing.
Additionally, AIH offers export and import transportation to and from the port, and oversized cargo transportation (machinery and project cargo in general) that requires special transportation and specialized equipment.
In the area of Maritime Services, Andino Holding works with shipping lines as well as with importers, exporters and with companies in the mining, oil and gas sectors.
Andino offers ship brokerage services, loading and unloading operations, pilotage and towage services;
to importers and exporters, stowage and unloading services, and customs documentation; to companies in the mining, oil and gas sectors, it offers transport, oil platform supply, oil pipelines and underwater platforms cleaning and maintenance.
AIH´s philosophy is to provide a wide range of logistics and port services, offering their customers the products and

plataformas petroleras, limpieza y mantenimiento de tubos de oleoductos y plataformas submarinas, entre otros.
La filosofía de AIH es proporcionar una amplia gama de servicios logísticos y portuarios, ofreciendo a sus clientes los productos y servicios de todas sus unidades de negocios, ubicando a AIH en una posición de ventaja frente a sus competidores, los cuales en su mayoría sólo pueden ofrecer una parte de la cadena de servicios de logística y portuarios que un cliente comúnmente requiere. AIH ha expandido sus líneas de servicios a través de una estrategia de círculos concéntricos, consolidando una unidad de negocio y luego ampliando el ámbito de los servicios que ofrece.
Las empresas de AIH abarcan toda la cadena logística de comercio exterior. Al desarrollar un nuevo negocio se busca consolidar el mismo dentro de esta cadena, brindando servicios a otras empresas del Grupo, de esta forma logrando potenciarlas.
El accionariado de AIH está controlado (74.12%) por un grupo de inversionistas que ha trabajado junto desde la creación de la primera empresa del Grupo, Cosmos, en 1972. El grupo de inversionistas incluye a la familia Vargas Loret de Mola, Jan Carsten Matthies Estenssoro, Wolf Dieter Krefft Berthold y Claus Krumdiek Majewski.
El porcentaje de accionistas restante (25.88%) se negocia en la BVL y está en manos de inversionistas nacionales y extranjeros, institucionales y personas naturales.
El Directorio de AIH está compuesto por 7 miembros, 3 de los cuales son independientes: Carlos del Solar Simpson (ex Gerente General de Hunt Oil Company de Perú), Miguel Aramburú (ex Gerente General de Hochschild Mining) y Luis Carranza Ugarte (ex Ministro de Economía). El Dr.
Carranza y el Sr. Aramburú también son miembros del Directorio de Neptunia, mientras que el Sr. Del Solar lo es también en Cosmos.
El crecimiento futuro del Grupo se sustenta en una combinación de (i) la expansión de las operaciones de sus empresas establecidas, (ii) la consolidación de sus operaciones en las concesiones que actualmente opera y (iii) el desarrollo de nuevos proyectos.

AIH has expanded its line of services through a strategy of concentric circles, consolidating a business unit and then extending the range of services offered.
AIH companies cover the whole foreign trade logistics chain.
When developing a new business, it is consolidated within this chain, offering services to other companies in the Holding thus promoting them.
AIH shareholding is controlled (74.12%) by a group of investors who have worked together since the creation of the first company in the Holding, Cosmos, in 1972. The group of investors includes the Vargas Loret de Mola family, Jan Carsten Matthies Estenssoro, Wolf Dieter Krefft Berthold and Claus Krumdiek Majewski. The remaining stock (25.88%) is traded in the stock market and is held by national and foreign investors, institutions and individuals.
AIH´s Board of Directors is comprised by 7 members, 3 of them are independent: Carlos del Solar Simpson (Hunt Oil Company of Peru former General Manager), Miguel Aramburú (Hochschild Mining former General Manager) and Luis Carranza Ugarte (former Ministry of Economy).
Dr. Carranza and Mr. Aramburú are also members of Neptunia´s Board of Directors, while Mr. Del Solar is a member of Cosmos board.

TERMINALES PORTUARIOS EUROANDINOS (TPE)
TPE es una sociedad con el Grupo Mota-Engil (50%/50%).
En 2009, Terminales Portuarios Euroandinos – Paita (TPE) se adjudicó la concesión para ampliar y operar el puerto de Paita por un período de 30 años.
TPE está conformado por las empresas Tertir–Terminais de Portugal S.A. (como Socio Estratégico), Cosmos Agencia Marítima y Translei.
Tanto Tertir-Terminais como Translei son empresas perte- necientes al grupo empresarial Mota-Engil. La primera se enfoca principalmente a inversiones portuarias en Portugal, así como en Asia y en África. La segunda es una empresa constructora fundada en Perú, cuyo único accionista es Mota-Engil.
Mota-Engil, grupo portugués con operaciones desde 1946 y presencia en 19 países del mundo, es un experimentado operador portuario que opera el Puerto de Aveiro, Figueira da Foz, Leixões, Lisboa y Setúbal. El Puerto de Paita
El puerto de Paita está localizado en la Provincia de Paita, a 56 kilómetros de la ciudad de Piura en el departamento del mismo nombre. Su posición geográfica es 81° 6' 23'' longitud 0 y 5° 5' 28'' latitud S al extremo noreste del Perú.
La ubicación geográfica del puerto determina como la zona natural de influencia a las regiones de Amazonas, Cajamarca, Lambayeque, Piura, Tumbes y San Martín.
El terminal portuario de Paita es el primer puerto del norte del Perú y a través de él se movilizan diversos productos de las regiones que conforman su área de influencia tanto para importación como exportación.
El puerto se caracteriza por ser principalmente de exportación, así las regiones cercanas movilizan productos mayoritaria- mente hidrobiológicos y agrícolas en contenedores. Dentro de los principales productos de exportación se tienen: pota, mango, banano, café y harina de pescado los cuales son enviados a destinos como Norte América, Europa y Asia.
Respecto a la importación a través del puerto se movilizan principalmente graneles sólidos como urea, fertilizantes, trigo y aceites de soya.
El puerto es un eslabón del proyecto IIRSA Norte que se encuentra actualmente en ejecución y contempla la construcción de un corredor de transporte multimodal Oeste-Este que conecta la costa norte del Perú con Brasil a través de una carretera hasta la ciudad peruana de Yurimaguas, y luego por vía fluvial hasta Brasil.
El Contrato de Concesión
El contrato de concesión del terminal portuario de Paita se suscribió el 9 de septiembre de 2009 por un período de 30 años entre el Estado Peruano y TPE, con el fin de diseñar, construir, financiar, conservar y explotar la infraestructura portuaria. De acuerdo al tipo de contrato, el esquema de concesión es el DBFOT (Design, Build, Finance, Operate and Tranfer), debiendo transferir los bienes de la concesión al Estado al término de la misma.
La concesión se realizó bajo un esquema mono-operador, es decir, verticalmente integrado. Por tanto, la empresa concesionaria TPE es la única facultada a prestar servicios dentro del recinto portuario, no estando obligada a brindar facilidades para que terceras empresas accedan a dicho recinto a prestar servicios portuarios, con excepción de los servicios de practicaje y remolcaje. Al respecto, el Contrato de Concesión establece que los alcances del servicio incluyan Servicios Estándar y Servicios Especiales.
De acuerdo al contrato de concesión, existen los siguientes compromisos de inversión: (i) inversión en los cuatro (4) primeros años por un monto de US$ 125 millones e (ii) inversión adicional al 2021 por US$ 100 millones.
The Port of Paita
The port of Paita is located in the Province of Paita, 56 kilometers from the city of Piura, in the department of the same name. Its geographical position is 81° 6' 23'' longitude 0 and 5° 5' 28'' latitude S, at the north east extreme of Peru.
The geographical location of the port defines it as the natural area of influence for the Amazonas, Cajamarca, Lambayeque, Piura, Tumbes and San Martín regions.
The Paita port terminal is the first port in the north of Peru and through its different products from the regions in its area of influence are mobilized for export and import.
The port is chiefly used for exports. The nearby regions mainly movilize hydrobiological and agricultural products in containers. Among the main export products we find:
cuttlefish, mango, bananas, coffee and fish meal, which are sent to destinations such as North America, Europe and Asia.
Imports through the port consist vastly of solid bulk such as urea, fertilizers, wheat, and soy oils.
The port is a link of the IIRSA Norte Project that is currently under way and that considers the construction of a west- east multimodal transportation corridor connecting the north coast of Peru to Brazil through a road to the Peruvian city of Yurimaguas, and then by river to Brazil.
The Concession Agreement
Paita´s port terminal concession agreement was signed on September 9, 2009 for a 30-year period by and between the Peruvian government and TPE, in order to design, build, finance, keep and exploit the port infrastructure.
According to the type of agreement, concession scheme is the DBFOT (Design, Build, Finance, Operate and Tranfer), where the concession assets are to be transferred to the State when the 30-year period is over.
The concession was carried out under a mono-operator scheme; that is, vertically integrated. Therefore, the licensed company, TPE, is the only one authorized to render services within the port facilities, and is not obliged to grant access to third parties to render port services, except for pilotage and towage services. In this regard, the Concession agreement allows the service scope to include Standard and Special Services.
According to the concession agreement, there are the following investment commitments: (i) investment in the four (4) first years for US$ 125 million and (ii) additional investment to 2021 for US$ 100 million.

PENTA TANKS TERMINALS
Fundada en 2010, Penta Tanks es una empresa que desarrolla y opera terminales para carga líquida. Su primer terminal se encuentra en Paita donde brinda servicio a Maple Etanol, empresa productora de etanol con la cual tiene firmado un contrato por 20 años.Maple lleva su producción en camiones hasta las instalaciones de Penta Tanks, en donde es almacenada en tanques para luego ser transportada, a través de un ducto, hasta las naves en el mar.
Penta Tanks cuenta con tres tanques de almacenamiento, cada uno con una capacidad de 10,000 m3. La construcción de la planta se terminó en el primer semestre del 2012, la primera cisterna de etanol se recibió el 21 de junio de este año y el primer embarque de etanol se realizó en agosto.
El objetivo de Penta Tanks es establecer terminales similares al de Paita en toda la costa peruana.
AEROPUERTOS ANDINOS DEL PERú (AAP)
AAP es una sociedad con Corporación América S.A. (CASA) de Argentina (50%/ 50%).
Aeropuertos Andinos del Perú (AAP) es el consorcio conformado por Corporación América de Argentina y Andino Investment Holding para administrar la concesión del segundo paquete de aeropuertos licitados por ProInversión.
Corporación América (CASA) es un holding multinacional controlado por capitales argentinos, conformado por empresas líderes en desarrollo, administración y ejecución de negocios en múltiples sectores. Dentro de las empresas que lo conforman se encuentra Aeropuertos Argentina 2000, operador del 99% de los aeropuertos de ese país, entre los que se encuentran el aeropuerto de Ezeiza (Buenos Aires). También administra otros aeropuertos en la región como Montevideo, Punta del Este, Guayaquil y el aeropuerto ecológico de Galápagos.
En enero de 2011, AAP suscribió el contrato de concesión con el Estado Peruano por 25 años para operar y remodelar los aeropuertos del sur del país (Arequipa, Ayacucho, Juliaca, Puerto Maldonado y Tacna).
La Concesión
El contrato de concesión de los aeropuertos del sur del Perú se suscribió el 5 de enero de 2011, por un período de 25 años entre el Estado Peruano y AAP. La modalidad bajo la cual se otorga la concesión es la cofinanciada, siendo esta concesión una Asociación Público Privada Cofinanciada.
De acuerdo al contrato de concesión existen compromisos de inversión: (i) Obras obligatorias por un monto de US$ 57 millones durante los tres (3) primeros años de operación;
PENTA TANKS TERMINALS
Established in 2010, Penta Tanks develops and operates terminals for liquid cargo. Its first terminal is located in Paita, where it provides services to Maple Ethanol. This ethanol producer has entered a 20-year contract with Penta Tanks.Maple takes its production in trucks to Penta Tanks facilities where it is stored in tanks to be transported, through a pipeline, to the ships at sea.
Penta Tanks has three storage tanks, each one with a capacity of 10,000 m3. The plant construction was finished in the first half of 2012, the first ethanol tank load was received on June 21 of this year and the first ethanol shipment was carried out in August.
The objective of Penta Tanks is to establish terminals similar to the one in Paita along the Peruvian coast.
AEROPUERTOS ANDINOS DEL PERú (AAP)
AAP is a partnership with Corporación América S.A.
(CASA) from Argentina (50% / 50%).
Aeropuertos Andinos del Peru (AAP) is the consortium comprised by Corporación América from Argentina and Andino Investment Holding to manage the concession of the second package of airports tendered by ProInversion, Peru's agency for promotion of private investment.
Corporación América (CASA) is a multinational holding controlled by Argentinian capitals, and is made up of leading companies in the development, administration and execution of businesses in multiple sectors. Within the companies in the holding, we find Aeropuertos Argentina 2000, operator of 99% of the airports in that country, among which we find Ezeiza Airport (Buenos Aires). It also operates other airports in the region such as Montevideo, Punta del Este, Guayaquil and the Galápagos ecological airport.
In January 2011, AAP entered the Concession agreement with the Peruvian government for 25-years to operate and remodel the airports at the south of the country (Arequipa, Ayacucho, Juliaca, Puerto Maldonado and Tacna).
The Concession Agreement
The Concession agreement of the airports at the south of Peru was entered on January 5, 2011, for a 25-year period between the Peruvian State and AAP. The concession modality is cofinancing, that means this concession is a Cofinanced Public Private Partnership.
According to the concession agreement, there are investment commitments: (i) Mandatory works for US$
57 million during the first three (3) years of operation;

y (ii) Obras del período remanente por un monto superior a US$ 214 millones durante el plazo remanente de la concesión.
Dichas inversiones están relacionadas al diseño, con- strucción, financiamiento, mejoras, mantenimiento y operación de los aeropuertos. Estas inversiones son con- sideradas obra pública por lo cual deben ser aprobadas previamente por el concedente, para ser reembolsadas.
La primera etapa de inversión se inició en abril de 2012 y comprende obras de rápido impacto como seguridad (muros perimétricos, pórticos), estacionamientos y mejoras en los terminales. La segunda etapa implica mayores obras de infraestructura, como nuevos terminales y pistas.
Debido al movimiento considerable de vuelos y pasajeros, actualmente se está evaluando, conjuntamente con el Estado, adelantar la construcción de un nuevo terminal en Arequipa y el arreglo de la pista en Juliaca.
INMOBILIARIA TERRANO
Terrano es una empresa constituida en 2008, en la cual AIH tiene el 75% y el resto es de propiedad de Inversiones San Karol S.A. La empresa cuenta con un área de 14 hectáreas adyacentes al Aeropuerto Internacional Jorge Chávez, a una corta distancia del puerto del Callao, donde se implementará un proyecto de desarrollo logístico que incluirá tres elementos independientes pero complementarios: (i) un centro comercial y hotelero, (ii) un centro empresarial con oficinas y locales comerciales y (iii) un centro logístico.
El proyecto será comercializado bajo la marca LIMA HUB, que se especializará en instalaciones para los sectores logístico, comercial y hotelero. Se espera iniciar obras en 2013.
OPERADORA PORTUARIA (OPORSA)
Oporsa es una empresa constituida en 2006, 100%
propiedad de AIH, con el propósito de desarrollar el proyecto “Terminal Portuario de Ventanilla” (“TPV”), en un terreno de 60 hectáreas ubicado en la zona industrial del distrito de Ventanilla, a 14 km al norte del Callao. El proyecto TPV consiste en desarrollar un puerto privado especializado en el almacenamiento, carga y descarga de a granel de todo tipo.
En abril de 2011, la Autoridad Portuaria Nacional aprobó el otorgamiento del permiso definitivo de área acuática a Oporsa . Por otro lado, Ferrocarril Central Andino S.A. ha confirmado la incorporación del tramo Callao - Terminal Portuario Ventanilla en la ruta del Ferrocarril del Centro.
Esto, sumado a la ampliación de la Av. Néstor Gambeta que se viene llevando a cabo, representa una oportunidad para el proyecto.

Such investments are related to the design, building, financing, improvements, maintenance and operation of the airports. These investments are considered as public works, and therefore need to be previously approved by the concedent, to be reimbursed.
The first investment stage started in April 2012 and included works with a rapid impact such as safety (perimeter walls, porticos), parking spaces and improvements in the terminals. The second stage involves larger infrastructure works, such as new terminals and runways. Because of the considerable traffic of flights and passengers, it is currently under evaluation, together with the State, to bring forward the building of a new terminal in Arequipa and repair of the runway in Juliaca.
INMOBILIARIA TERRANO
Terrano was incorporated in 2008, in which AIH holds 75% and the rest is owned by Inversiones San Karol S.A.
The Company owns 14 hectares adjacent to Jorge Chávez International Airport, at a close distance from the port of Callao, where a logistics development project will be implemented and will include three independent but complementary elements: (i) a hotel and mall, (ii) a business center with offices and shops and (iii) a logistics center.
The project will be commercialized under the brand LIMA HUB, which will specialize in facilities for the logistic, commercial and hotel sectors. Works are expected to start in 2013.
OPERADORA PORTUARIA (OPORSA)
Oporsa was incorporated in 2006, wholly owned by AIH, to develop the project called “Ventanilla Port Terminal”
(“Terminal Portuario de Ventanilla”, “TPV”), in 60 hectares located in the industrial area of the Ventanilla district, 14 km north of Callao. The TPV project consists of developing a private port specialized in the storage, loading and unloading of all kinds of bulk cargo.
In April 2011, the Peruvian Port Authority approved granting the definitive water area permit to Oporsa.
On the other hand, Ferrocarril Central Andino S.A. has confirmed the incorporation of the Callao - Ventanilla Port Terminal section in the Central Railroad route. This, together with the expansion of Av. Néstor Gambetta, that is currently under way, represents an opportunity for the project.

Los servicios marítimos constituyen el rubro de negocio con el que se inició el Grupo y a la fecha están agrupados en dos tipos:

Manipuleo y gestión documentaria en aduana.

Operaciones de Terminales Marítimos y Fluviales
Consiste en servicios especiales para faenas marítimas en terminales portuarios, marítimos, multiboyas y fluviales.
Los clientes de Cosmos son las compañías navieras nacio- nales y extranjeras más importantes que operan en el país, así como corporaciones mineras y de energía que vienen desarrollando operaciones de gran envergadura en nuestro territorio. Es el operador de los principales contratos de terminales petroleros y gasíferos del país, manteniendo contratos con empresas tales como Pluspetrol Camisea, PERÚ LNG, Petroperú, Savia, BPZ Energy, entre otros.
La empresa mantiene una relación sólida y duradera con muchos de sus clientes. Particularmente con las líneas navieras, su nivel de integración es tal que la empresa adecúa sus sistemas para que estos trabajen en sincronía con los de las líneas navieras, lo cual constituye una barrera de entrada importante para la competencia.
Cosmos tiene presencia en todos los puertos de la costa, así como en Pucallpa e Iquitos.
Cosmos está presente en diferentes sectores de la economía peruana: comercio exterior, servicios y operaciones portuarias, sector marítimo (transporte marítimo y fluvial), actividades submarinas, sector petrolero.
Asimismo, sus operaciones abarcan la mayor parte de la costa peruana: Zorritos, Talara, Paita, Salaverry, Supe, Chimbote, Callao, Pisco, Pampa Melchorita, Mollendo, Ilo y, recientemente, en la selva (Pucallpa e Iquitos), donde opera con 10 motochatas para Pluspetrol.
Cosmos cuenta además con una de las flotas de lanchas de trabajo más grande del Perú, las mismas que sirven para atender las necesidades de los buques, personal y carga en los principales puertos del país.
TRITON MARITIME SERVICES
Trimser, 100% subsidiaria de AIH es una empresa especializada en servicios de practicaje, con más de 10 años de experiencia en el negocio. Opera en los principales puertos peruanos: Zorritos, Paita, Bayóvar, Salaverry, Callao, Pisco y el terminal de PERU LNG en Pampa Melchorita.
Actualmente cuenta con 8 pilotos: 5 localizados en el Callao, 2 en Ilo y 1 en Paita. La empresa sostiene programas de entrenamiento mediante sesiones en simulador. Los pilotos son capacitados en las características específicas y las condiciones de los terminales y los remolcadores que se utilizan en las maniobras.
Adicionalmente, Trimser brinda servicios de contención de derrames.
Los principales clientes de Trimser son Cosmos, La Hanseática, Maersk, NYK, Seaboard Marine, Hamburg Süd, Hapag Lloyd y PERU LNG.
Sea and River Operations
It consists in special services for water tasks in port, mari- time, multi-buoy and river terminals.
Cosmos customers are the most important national and foreign shipping companies operating in the country, as well as mining and energy corporations developing large-scale operations in our territory. It is the operator of the main oil and gas terminal agreements in the coun- try, holding contracts with companies such as Pluspetrol Camisea, PERU LNG, Petroperú, Savia, and BPZ Energy.
The Company keeps a solid and long-lasting relationship with most of its customers. Particularly with shipping lines, they have such a level of integration that the Company adapts its systems so that they may work in synchrony with those of the shipping lines, which is an important barrier to the entrance of competition.
Cosmos is present in all the ports in the coast, as well as in Pucallpa and Iquitos.
Cosmos is also present in different sectors of the Peruvian economy, foreign trade, port services and operations, maritime sector (sea and river transport), underwater activities, hydrocarbon sector. Additionally, its operations cover most of the Peruvian coast: Zorritos, Talara, Paita, Salaverry, Supe, Chimbote, Callao, Pisco, Pampa Melchorita, Mollendo, Ilo and, recently, in the jungle, (Pucallpa and Iquitos), where it operates with 10 motor barges for Pluspetrol.
Cosmos also has one the largest work boat fleets in Peru.
They are used to attend the needs of the ships, personnel and cargo in the main ports of the country.
TRITON MARITIME SERVICES
Trimser, wholly-owned by AIH, specializes in pilotage services, and has more than 10 years of experience in the business. It operates in the main Peruvian ports: Zorritos, Paita, Bayóvar, Salaverry, Callao, Pisco and PERU LNG terminal in Pampa Melchorita.

Nautilius, agencia marítima que opera en el Callao desde hace 30 años en sociedad con la familia Romero de la Puente (50%/50%). Sus operaciones incluyen estiba de contenedores, carga suelta, graneles, petróleo, gas y servicios de remolcaje.
Entre sus principales clientes están Seaboard Marine y Petrolera Transoceánica.
SVITzER ANDINO
Svitzer Andino (SA) es una sociedad con Svitzer Americas, líder mundial en servicios de remolcaje, con 177 años de experiencia a nivel mundial. La empresa inició operaciones en Agosto de 2009 y a la fecha cuenta con dos (2) remolcadores, uno llamado María Luisa II 55 TBP ASD, que opera en Zorritos para BPZ Marine; y otro llamado Cabo Blanco 40 TBP ASD, que opera a lo largo de la costa peruana.
Los principales servicios que brinda SA son remolcaje a puerto, atraque y desatraque de naves, salvamento y asistencia a las naves, prevención y contención de derrames, operaciones de trasbordo de nave a nave y atención de emergencias.
En la actualidad AIH, a través de sus subsidiarias, tiene presencia en todos los puertos y terminales del Perú. El control y manejo del Grupo Andino está en manos de inversionistas que han trabajado juntos desde hace más de 40 años. La Compañía tiene una historia de sostenido crecimiento a través de los negocios establecidos, nuevas subsidiarias, concesiones y proyectos.

Svitzer Andino (SA) is a partnership with Svitzer Americas, world leader in towage services, with 177 years of experience worldwide. A través de su área de Servicios Logísticos, AIH brinda la gama completa de servicios logísticos en forma integrada, la cual incluye: recepción, clasificación y almacén de la mercadería cuando llega, empaquetado y etiquetado de acuerdo con las especificaciones del cliente final, así como la distribución a los puntos de venta que se requieran.
Las principales empresas dentro del área de servicios logísticos son Neptunia y Triton Transports, las cuales representan el 94% de las ventas de este rubro. Asimismo, Multitainer, Almafin y File Service brindan servicios relacionados a este rubro de negocio.
