Chris joined Xchanging in August 2014 as Managing Director of Xuber, Xchanging’s Insurance Software business; he was appointed to the Executive Board in January 2015. As part of Chris’s role he is responsible for the integration of Xchanging’s insurance software acquisitions with the goal of expanding Xuber’s global presence and offerings. Before joining Xchanging Chris spent 17 years at Oracle, latterly to the role of global Senior Vice President of Oracle’s Independent Software Vendor and Java Businesses. Prior to Oracle Chris held a number of senior UK roles, including that of Sales Director for Outsourcing at Digital Equipment. Chris has a degree in civil engineering and worked in that field at Brian Colquehoun and Partners and at a computer bureau SIA as a consultant before moving to IT. Skills and experience Andrew joined Xchanging in January 2012 to lead the global technology business. He is responsible for the Application Services, Internet of Things, Learning Platforms and Analytics products and services. He has extensive experience of the IT industry having held positions within multinational companies spanning software, technology services, management consultancy and start-up ventures. Before joining Xchanging, Andrew was Chief Executive Officer of global services at Temenos Group, a market leading provider of packaged banking software. Other senior roles include Managing Director of Aon BPO and Consulting, Chief Executive Officer of software company Netengines and Managing Director of the EMEA outsourcing business of Digital Equipment Corporation (now Hewlett Packard). Date appointed to Executive Board January 2012

C ORPOR ATE GO VERNANCE FINANCIAL ST ATEMENTS O THER INFORMA TION ADRIAN GUTTRIDGE EXECUTIVE DIRECTOR, INSURANCE Business

Business Processing Services Skills and experience Adrian joined Xchanging in December 2012 as Executive Director, Insurance. He now is responsible for industry specific business processing services in the insurance industry, and services including Finance and Accounting and Mortgage Processing to clients in a variety of industries including Healthcare, Banking & Capital Markets, and Retail & Distribution.

Prior to Xchanging, Adrian was Vice President of Business Processing Outsourcing, EMEA at Hewlett Packard. He has a background in the technology industry and is a Chartered Engineer, and a Fellow of the British Computer Society. His 30 year career includes extensive insurance sector experience including senior roles at Accenture and Marlborough Stirling. Date appointed to Executive Board December 2012

STEPHEN SCOTT GROUP DIRECTOR OF SALES AND MARKETING

Business Cross-sector Skills and experience Stephen first joined Xchanging in 2006 and held the position of Australian Relations Director until August 2007. Following a period working in senior management positions at Aon and Westpac Banking Corporation, he returned to Xchanging in 2009. In 2011 Stephen became the Australian Sales and Services Director, as well as Managing Director for the Procurement and Advisory Services businesses in Australia before being appointed to his current role in 2012. In his current role he defines the Xchanging Sales and Marketing strategy and has developed a culture of selling and sales governance.

Prior to joining Xchanging, Stephen gained 16 years of business experience in a number of roles in government and industries including banking, insurance, and internet/new media. Immediately prior to Xchanging, Stephen worked in senior management positions at the Australian Federal Treasury and the Financial Services Institute of Australasia. Date appointed to CHIRAG SHAH EXECUTIVE DIRECTOR, PROCUREMENT Business Procurement Skills and experience Chirag joined Xchanging in September 2013 at the time of the acquisition of MM4 where he was previously co-founder and Chairman. His career spans over 20 years in the provision of services and technologies within the supply chain sector. Prior to Xchanging, Chirag held senior positions in industrial, consultancy and technology companies including Rover Group, GE and A.T. Kearney’s eBreviate, TradingParters and most recently, MM4. Chirag has extensive experience in running businesses in the US, UK, China and continental Europe. Date appointed to Executive Board July 2014

JON STRATFORD EXECUTIVE DIRECTOR FINANCIAL SERVICES AND GROUP DIRECTOR OF CORPORATE DEVELOPMENT & STRATEGY

Skills and experience Jon joined Xchanging in 2006 as Corporate Development Director and led the Xchanging IPO in April 2007. Following this Jon became Chief Financial and Commercial Officer for Xchanging’s Americas business before returning to the UK in the role of Group Director of Corporate Development and Strategy in August 2011. During most of 2012, Jon was also interim Executive Director, Insurance. In October 2013 Jon was additionally appointed to the position of Executive Director Financial Services.

Jon has 20 years’ experience in strategic transactions, financial services, insurance and business services. He began his career at KPMG, is a qualified Chartered Accountant and spent 10 years working in investment banking advising on strategic acquisitions, disposals, financing and private equity.
